Terms of Use

The Site is operated by Gane Inc. ("Gane," "we," "us," "our") and provides information about Gane, including public features such as request and registration forms, newsletters, content resources, and tools such as the Growth Calculator and any plan preview or recommendation features (collectively, "Site Features").

The Platform is a B2B marketing orchestration service that includes revenue planning, content creation, campaign management, contact management, AI-powered content and communication tools, publishing, and analytics. Access to the Platform requires a subscription agreement or authorized account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

You agree not to:

• Use our Services in violation of any applicable law or regulation
• Interfere with or disrupt our Services or attempt to bypass security features
• Use automated means (scraping, crawling, bots) to access the Site or Platform except as permitted by robots.txt or our API documentation
• Upload or transmit malicious code, or attempt unauthorized access to our systems
• Use our Services to transmit unlawful, infringing, defamatory, or harmful content
• Attempt to reverse engineer, decompile, or derive source code from the Platform
• Resell, sublicense, or provide access to the Platform to unauthorized third parties
• Use the Platform to send unsolicited commercial messages (spam) or violate anti-spam laws

A. Ownership

You retain ownership of all content and data you upload, create, or process through the Platform ("Your Content"). We do not claim ownership of Your Content.

B. License to Gane

You grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Content solely as necessary to provide and improve our Services. This license terminates when you delete Your Content or when your account is terminated, subject to any backup or retention requirements.

C. Your Responsibilities

You represent that you have all necessary rights to Your Content and that its use through our Platform does not violate any third-party rights or applicable laws, including data protection and anti-spam regulations. You are responsible for maintaining appropriate consents from your own contacts and complying with applicable email marketing laws (such as CAN-SPAM, CASL, and GDPR) when using the Platform's campaign and communication features.

The Platform includes AI-powered features for content generation, optimization, and automated communications. AI-generated content is provided as a draft or suggestion. You are responsible for reviewing, editing, and approving all AI-generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI outputs for any particular purpose.

The Site may provide previews, recommendations, calculations, or draft outputs (including outputs generated with automated or AI-assisted features such as the Growth Calculator). These outputs are provided for informational purposes only, may be incomplete or inaccurate, and are not professional advice. You are responsible for reviewing and validating any output before relying on it or using it in any business activity.

The Services and their content, including all software, design, text, graphics, logos, and documentation, are owned by Gane or its licensors and are protected by intellectual property laws. You may use the Site for your internal business purposes but may not copy, distribute, modify, publicly display, or create derivative works from our content except as expressly permitted.

If you provide feedback, suggestions, or ideas about our Services, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use such feedback without obligation or restriction. You are not required to provide feedback.

Our Services may integrate with or contain links to third-party websites and services (such as CRM platforms, email providers, and analytics tools). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their own terms and privacy policies.

Our Privacy Policy and Cookie Policy describe how we collect, use, and share information about you. By using our Services, you acknowledge that you have read and understand these policies.

We may modify the Site, Platform, or these Terms at any time. The "Last updated" date indicates when these Terms were last revised. For material changes to the Platform, we will provide reasonable notice. Your continued use after changes become effective means you accept the revised Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GANE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED OR AI-ASSISTED OUTPUTS WILL BE ACCURATE OR FREE FROM ERRORS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GANE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GANE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GANE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US $100.

You will indemnify and hold harmless Gane and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of our Services, (b) Your Content (if applicable), (c) your violation of these Terms, or (d) your violation of any third-party rights.

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in San Mateo, California, unless otherwise required by law.

We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any reason with reasonable notice. Upon termination of a Platform account, we will make Your Content available for export for a reasonable period, after which we may delete it.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Customer Agreement, constitute the entire agreement between you and Gane regarding the subject matter herein.
